Resignation and Replacement of Trustee. (a) The Trustee may resign at any time during the term of this Trust by delivering to the Company a written notice of the proposed resignation. The Consulting Firm shall deliver a copy of any such notice to each Participant and beneficiary at the address supplied by the Company. Such resignation shall take effect upon the qualification of a successor Trustee and such successor Trustee commencing to act as such.
Resignation and Replacement of Trustee. A) Notwithstanding anything to the contrary in this Trust Agreement, upon the death, removal, resignation, or physical or mental incapacity of the Trustee, or if an entity acting as Trustee is dissolved, the following, in order of their listing (provided they shall be willing and able to act), shall be appointed as the Successor Trustee with the same powers and duties of the predecessor Trustee: First Choice: ___________________________________________ Second Choice: ___________________________________________ In the event that none of the above choices are available to serve as the Successor Trustee, or in the event that no choices have been designated, by unanimous consent the Beneficial Interest Holders may appoint a Successor Trustee. A Beneficiary may be named as a Successor Trustee. In the event that a Successor Trustee is appointed, an affidavit shall be signed and sworn to before a notary public by the Successor Trustee and, unless the predecessor Trustee is dead or physically or mentally incapable, by the predecessor Trustee, swearing to the facts of the succession. The affidavit shall be in a form which is acceptable for recording in the county or counties in which Trust Property is situated.
Resignation and Replacement of Trustee. (a) The Trustee may resign at any time during the term of this Trust by delivering to the Company a written notice of its resignation. The Company may remove the Trustee at any time before a Change of Control by delivering to the Trustee a written notice of such removal. Such resignation or removal shall take effect upon the earlier of (i) 60 days from the date of delivery of such notice or (ii) the appointment of a successor Trustee. If, within 60 days of the delivery of notice of such resignation or removal, a successor Trustee shall not have been appointed, the Trustee may apply to any court of competent jurisdiction for the appointment of a successor Trustee.
Resignation and Replacement of Trustee. In accordance with the Original Trust Indenture, CIBC Mellon has resigned as Trustee as of the date hereof, which resignation is hereby accepted by the Corporation. CIBC Mellon shall not be responsible for any obligations or liabilities relating to or arising in respect of the Original Trust Indenture on or after the date hereof.
Resignation and Replacement of Trustee. In accordance with the Indenture and its notice provided in Section 2.1, Royal Trust hereby resigns as Trustee, which resignation is hereby accepted by the Bank, and Royal Trust is hereby discharged (i) from all trusts and powers reposed in and conferred upon Royal Trust under the Indenture and (ii) from all liabilities, obligations and duties to be performed under the Indenture insofar and to the extent only that such liabilities, obligations and duties arise from and after the date hereof and relate to any period, date or time that shall commence or occur on or after the date hereof.
Resignation and Replacement of Trustee. 1.1 Pursuant to Section 12.01 of the Principal Trust Indenture, CTC hereby resigns as Trustee under the Trust Indenture and is hereby discharged from the trusts of the Trust Indenture, such resignation to become effective January 9, 1989.
