Resignation as an Officer and Director. On or immediately following the date of any termination of Employee’s employment, and as a condition of receiving severance hereunder, Employee shall submit to the Company in writing Employee’s resignation to the extent applicable, if any, as (i) an officer of the Company and of all subsidiaries, (ii) a member of the Board and of the board of directors of all subsidiaries and (iii) as a fiduciary of any benefit plan.
