In the event that Employee resigns or otherwise terminates his employment with Employer for any reason (other than due to Disability, death or for Good Reason) during the Employment Term (a "Voluntary Termination"), Employee shall be entitled to receive his Base Salary earned through the date of such Voluntary Termination, and, except as otherwise expressly provided herein, all other rights of Employee hereunder shall terminate as of the date of
