Upon the Effective Date of Termination of Executive’s employment hereunder, Executive will be deemed to have voluntarily resigned from all offices, directorships, and committee positions then held with the Company and any of its subsidiaries and affiliates, without any further required action by the Executive. Executive will execute any documents reasonably requested by the Company to reflect his or her resignation and will not seek or accept re-election to any such positions except with the written consent of the Company.
