Termination of Employment and Resignation. Executive hereby retires and terminates his employment, and resigns all offices, titles and positions with the Company as of the Retirement Date. Such termination of employment and resignation by Executive shall constitute a voluntary termination and resignation by Executive. Executive agrees that no severance or other amounts are payable in connection with Executive’s termination and resignation under the Employment Agreement or otherwise, except as provided in this Agreement.

Consultant performed his regular duties with Company through May 20, 2024 (“Transition Date”), on which date (i) Consultant’s employment with Company ended and (ii) Consultant ceased serving as Company’s President and Chief Executive Officer and interim Segment President for the Specialized Segment and Consultant hereby resigns from all offices and directorships held at Company.
Termination of Employment and Resignation. Executive hereby covenants to retire and resign his employment along with all offices, titles and positions with the Company effective the Retirement Date. Executive acknowledges and agrees that his resignation is voluntary and, as such, it does not constitute a termination or constructive termination of his employment. Executive acknowledges that, by entering into this Agreement, Executive is hereby forfeiting any right to claim common law notice of termination or pay in lieu of said notice as well as compensation for a termination of employment pursuant to the terms of the Employment Agreement, as amended. Executive also acknowledges and agrees that no Termination Pay (or benefits continuances) or Severance Pay will be owed to Executive under the Employment Standards Act, 2000 (“ESA”).
Termination of Employment and Resignation. Green’s employment with the Company is hereby terminated effective as of the Effective Date. In connection with his termination as an employee of the Company, Green hereby resigns as an officer of the Company and its affiliates, if any, and the Company and such affiliates hereby accept such resignations.
Termination of Employment and Resignation. The Employment Agreement and Rodriguez's employment with HLEG shall terminate effective on Xxxxember 1, 2006 (the "Termination Date"). Upon execution of this Agreement, Rodriguez shall submit letters of resignation, effective xx xxx Termination Date, resigning from the Board of Directors and as Chief Executive Officer and Chief Financial Officer of HLEG.
Termination of Employment and Resignation. The termination of Executive’s service with Company shall be effective as of August 31, 2006 (“Termination Date”). Executive shall resign as an officer and employee of Company (and any of its parent companies, subsidiaries, affiliates and divisions) and as a member of the Company’s Board of Directors, including without limitation her position as Chairman of the Board of Directors, effective on the Termination Date. Company will pay Executive her salary and any directors’ fees or other amounts earned by and due to Executive for the period through the Termination Date in accordance with past practices.
