Common use of Resolutions, etc Clause in Contracts

Resolutions, etc. The Administrative Agent shall have received from the Borrower a certificate, dated the Effective Date, of its Secretary or Assistant Secretary as to (a) resolutions of its Board of Directors then in full force and effect authorizing the execution, delivery and performance of this Agreement and each other Loan Document to be executed by it; and (b) the incumbency and signatures of its Authorized Officers, upon which certificate each Lender may conclusively rely until it shall have received a further certificate of the Secretary of the Borrower canceling or amending such prior certificate.

Resolutions, etc. The Arranger, the Syndication Agent and the Administrative Agent shall have received from the Borrower each Obligor a certificate, dated the Effective Closing Date, of its Secretary or Assistant Secretary as to (ai) resolutions of its Board of Directors then in full force and effect authorizing the execution, delivery and performance of this Agreement and each other Loan Document to be executed by it; , and (bii) the incumbency and signatures of those of its Authorized Officersofficers authorized to act with respect to each Loan Document executed by it, upon which certificate each Agent and each Lender may conclusively rely until it shall have received a further certificate of the Secretary or Assistant Secretary of the Borrower such Obligor canceling or amending such prior certificate.
