Common use of Resource Adequacy Requirement Clause in Contracts

Resource Adequacy Requirement. Seller agrees that the Units offered to Buyer will meet all requirements necessary to qualify as a resource capable of contributing to Buyer’s Resource Adequacy Requirement at all times during the Services Term. Seller agrees that it will take all measures necessary to qualify the Unit(s) as RA Capacity and will execute any and all documents or instruments reasonably necessary to enable Buyer to use the RA Capacity to satisfy Buyer's Resource Adequacy Requirements. Seller’s obligations pursuant to the prior sentence shall include: (i) Cooperating with and encouraging the regional entity, including the CAISO, if applicable, responsible for Resource Adequacy administration to certify or qualify the Contract Capacity for Resource Adequacy Requirements purposes. This includes following requirements the CPUC has established and may establish in the future, including calculation of RA Capacity over all hours required for Resource Adequacy Requirement eligibility, and delivery of the RA Capacity to the CAISO Interconnection Point; and (ii) Negotiating in good faith to make necessary amendments, if any, to this Agreement to conform this Agreement to subsequent clarifications, revisions or decisions of the CPUC or any other entity, including the CAISO, with respect to Resource Adequacy. (iii) Complying with the Resource Adequacy reporting requirements set forth in Section 40 of the CAISO Tariff, including the following: Taking all actions to register the Project with the CAISO to ensure that the Project’s Capacity Attributes and/or Contract Capacity is able to be recognized and counted as RA Capacity. Coordinating with Buyer with regard to the submission of the Monthly Resource Adequacy Plan, as defined in the CAISO Tariff, to the CAISO. Complying with the bidding and dispatch requirements applicable to the Project’s resource type, as set forth in Section 40 of the CAISO Tariff; and Complying with the applicable reporting requirements.

Resource Adequacy Requirement. (“RAR”). Seller agrees that the Units offered providing Products to Buyer will hereunder meet all requirements necessary to qualify as a resource capable of contributing to Buyer’s Resource Adequacy Requirement RAR or similar successor requirements at all times during the Services Delivery Term. Seller agrees that it will take all measures necessary to qualify the Unit(s) so that each Unit’s Capacity qualifies as RA Capacity and will execute any and all documents or instruments reasonably necessary to enable Buyer to use the fully such RA Capacity to satisfy Buyer's Resource Adequacy RequirementsRAR in accordance with the Operational Limitations set forth in Appendix II. At its sole discretion, Buyer may re-sell or use for another purpose all or a portion of the Capacity Attributes. If a centralized capacity market develops within the CAISO region, Buyer will have exclusive rights to offer, bid, or otherwise submit the Capacity and/or Capacity Attributes for re-sale in such market, and retain and receive any and all related revenues. Seller’s obligations pursuant to this Section 3.1(b) shall include the prior sentence shall includeobligations set forth in subsections 3.1(b)(i) – (iv) below: (i) Cooperating Seller shall cooperate with and encouraging encourage the regional entityentity responsible for RAR administration, including the CAISO, if applicable, responsible for Resource Adequacy administration to certify or qualify the at least Maximum Contract Capacity for Resource Adequacy Requirements RAR purposes. This includes following requirements the CPUC has established and may establish in the future, including calculation of RA Capacity over all hours required for Resource Adequacy Requirement RAR eligibility, and delivery of the RA Capacity to the CAISO Interconnection Electrical Delivery Point; and. (ii) Negotiating in good faith to make necessary amendments, if any, to this Agreement to conform this Agreement to subsequent clarifications, revisions or decisions of the CPUC or any other entity, including the CAISO, with respect to Resource Adequacy. (iii) Complying Seller shall comply with the Resource Adequacy RAR reporting requirements set forth in Section 40 of the CAISO Tariff, including but not limited to the following: Taking : (A) taking all actions to register the Project Facility with the CAISO to ensure that the ProjectFacility’s Capacity Attributes and/or Maximum Contract Capacity is able to be recognized and counted as RA Capacity. Coordinating ; and (B) coordinating with Buyer with regard to the submission of the Monthly Resource Adequacy Plan, as defined in the CAISO Tariff, to the CAISO. Complying comply with the bidding and dispatch applicable reporting requirements applicable to the Project’s resource type, as set forth in Section 40 of the CAISO Tariff; . (iii) Seller shall comply with PG&E’s Outage Protocol and Complying with Notifications specified in Section 3.8 and Appendix III. (iv) Seller shall obtain and maintain Full Capacity Deliverability Status by the applicable reporting requirementsCAISO for the Units as of the Initial Delivery Date throughout the Delivery Term.
