Resources and Facilities a) To enable IBM to provide the Services, the Parties may agree under a Transaction Document for Equifax to provide, at no charge to IBM, the use of the Equifax Provided Hardware, Equifax Provided Office Furnishings, Equifax facilities, and offices services such as reasonable local analog telephone services for the sole purpose of providing and performing the Services covered by the Transaction Document for the Equifax Group. These obligations will generally not include the provision of (i) office, storage or equipment/Data Center space, parking facilities, or heat, light, power, air conditioning and other similar utilities which will be provided under a separate lease agreement between the members of the Equifax Group as lessor and IBM or its Affiliates as lessee for a portion of the Facilities, or (ii) office support services (e.g., janitorial and security), office supplies and similar services and consumables. All such items provided by Equifax shall comply with all applicable laws and regulations relating to safety and use. Subject to the satisfaction of Equifax's obligation with respect to compliance with applicable laws and regulations, IBM shall ensure a safe working environment is maintained with the Equifax Provided Hardware, Equifax Provided Office Furnishings and Equifax facilities in compliance with all applicable laws and regulations, and shall take no action that will compromise such safety of such working environment or violate such laws and regulations. When the Parties agree that the Equifax Provided Hardware and Equifax Provided Office Furnishings are no longer deemed necessary to perform the Services, Equifax's obligations set forth in this Section and in any Transaction Document with respect to each such item of resources shall terminate.
b) Except as otherwise provided in the Agreement, IBM will have the responsibility and obligation to provide and administer, manage, support, maintain and pay for all resources (including, without limitation, personnel, hardware, software, facilities, services and other items, however described) necessary or appropriate for IBM to provide, perform and deliver the Services as described in the Agreement.
c) IBM will provide and have on site as set forth in each Transaction Document its Project Executive under each such Transaction Document prior to the Commencement Date and for the duration of the term of each such Transaction Document, and will timely provide additional trained and qualified personnel a...

Residents/fellows will have 24-hour access to appropriate safety and security resources, all laboratory, radiology, medical records, nursing, ancillary services, computer and internet access, food availability and sleep space, as necessary to function effectively. They will have ready access to specialty-specific and other appropriate reference material in print or electronic format, including access to electronic medical literature databases with full text capabilities. The Participating Site will provide residents/fellows who are nursing with clean and private facilities for lactation, and clean and safe refrigeration resources for the storage of milk.
Resources and Facilities. 62.1. The XXX is to be given access to the employees of the employer.
62.2. The following persons will be provided with access to resources and facilities, such as telephones, computers, e-mail, noticeboards and meeting rooms in a manner that does not adversely affect service delivery and work requirements.
62.2.1 XXX Officials; and
62.2.2 XXX Delegates; and
62.2.3 Health and Safety Representatives (HSRs).
62.3. In addition to other leave entitlements, XXX Delegates and HSRs are to have reasonable time release from duty to attend to matters relating to industrial, occupational health and safety or other relevant matters such as attending local committee meetings, assisting with grievance procedures, attending hospital committees etc. subject to operational considerations. Such release shall not be unreasonably withheld by the employer.
62.4. Where management requires XXX representatives to attend management meetings outside of paid time they will be paid to attend.

Resources and Facilities. 14.1 Access to new employees:
14.1.1 For the purposes of facilitating the orientation of new employees and in particular familiarizing such employees with this Agreement the Union shall be provided, in writing on a quarterly basis, with the dates, times and venues of any orientation/induction programs and be permitted to attend.
14.1.2 If the dates of these programmes are fixed in advance for a regular day and time then a list should be sent to the Union forthwith.
14.1.3 Where the dates of orientation/induction programmes are not fixed in advance, the Union should receive reasonable notification of at least 14 days to enable a Union representative to attend.
14.2 Job and occupational health & safety representatives:
14.2.1 In addition to other leave entitlements, job and occupational health and safety representatives are to have reasonable time release from duty to attend to matters relating to industrial, occupational health and safety or other relevant matters such as grievance procedures, committee meetings etc.
14.2.2 Where representatives are required to attend management meetings outside of paid time they will be paid to attend.
14.3 Access to employees and facilities:
14.3.1 For the purpose of avoiding disputes about matters pertaining to the employment relationship or any other matters arising from this Agreement the Union is to be given access to employees.
14.3.2 The Union’s Occupational Health & Safety and job representatives shall be provided with access to facilities such as telephones, computers, e-mail, notice-boards and meeting rooms in a manner that does not adversely affect service delivery and work requirements.
14.3.3 A notice board for the Union’s use should be established in each department in which persons eligible to be members of the Union are employed.
14.4 The exercise of any right of entry conferred by clause 14 which involves entry to premises for a purpose referred to in s.481 of the Fair Work Act, or to hold discussions of a kind referred to in s.484 of the Fair Work Act, will be in accordance with the requirements of Part 3-4 of Chapter 3 of the Fair Work Act.

All such items provided by Equifax shall comply with all applicable laws and regulations relating to safety and use. Subject to the satisfaction of Equifax’s obligation with respect to compliance with applicable laws and regulations, IBM shall ensure a safe working environment is maintained for the Equifax Provided Hardware, Equifax Provided Office Furnishings and Equifax facilities in compliance with all applicable laws and regulations, and shall take no action that will compromise such safety of such working environment or violate such laws and regulations.
(b) Equifax agrees to negotiate in good faith with IBM with the objective of IBM and Equifax entering into an agreement within six months to extend, through March 1, 2012, the term of the existing sub-lease agreement between them pursuant to which IBM sub-leases from Equifax space located at 1505 and 0000 Xxxxxxxx Xxxxxxxxx, Xxxxxxxxxx, Xxxxxxx. The Parties agree that the extension of the sub-lease would be on its existing terms for calculating the rent and other amounts due under the sub-lease and that IBM shall have the right to perform outsourcing services for other customers utilizing such space. The sub-lease extension will also give IBM the option to further extend the term of the sub-lease to be coterminous with the term of Equifax’s facilities lease that includes the sub-leased space in the event Equifax exercises any or all of its current options to extend such lease at the end of its term — which options give Equifax the right...
Resources and Facilities. The company will provide facilities and assistance to the Committee to enable it to perform its functions and duties. Committee Decisions As far as practicable, decis ions will be reached through consultative practices. The Committee may make recommendations in relation to any company policy where the Committee believes in good faith that a particular policy requires revision, modification or review. In this situation, the Company will review and consider recommendations put forward and will take actions that it deems appropriate in the circumstances including making change to policy and procedures where that is necessary for the efficient and effective running of the business. Right of Access to All Relevant Information Where management is considering the introduction of major changes in production, organisation structure of technology, and these changes could have significant effects on employees, then management shall notify the SCC as early as practicable. In doing so management shall provide the SCC will all relevant information about the change or changes. Management shall not be required to disclose information where the disclosure in the opinion of management would be adverse to the Company’s interests.
Resources and Facilities. For purposes of this Transaction Document, Section 5.3(d) of the Master Agreement is modified as follows:
a. The first sentence is revised to read as follows: IBM will have the right to change the location of the IBM activities associated with operating systems support, Help Desk and mainframe console operations provided as part of the Services under any Transaction Document with the prior written consent of Certegy (which consent shall not be unreasonably withheld) or upon the occurrence of a Force Majeure Event.
b. The following sentence is added at the end of the section: Except as provided in the first sentence of this Section 5.3(d), IBM may not change the location of any other aspects of the Services, and the delivery of Services without the prior written consent of Certegy, which may be withheld in its sole discretion.
