Common use of Responsibilities of Xxxxxx Clause in Contracts

Responsibilities of Xxxxxx. 1. Xxxxxx will be responsible for the following: (i) providing Invoice Cloud with a static IP address or a specific range of static IP addresses, and (ii) confidentiality of End User’s Data. Xxxxxx is solely responsible for ensuring the secure transmission of any data that Xxxxxx transmits to Invoice Cloud (“Xxxxxx Transmitted Information”), and Invoice Cloud and manufacturer will have no liability therefore. Xxxxxx is solely responsible for adopting, implementing, and maintaining appropriate and effective security measures, procedures, policies, and standards, and any other best practice available to protect the confidentiality of Xxxxxx Transmitted Information, (iii) protecting the confidentiality of any information stored on Xxxxxx’x servers, and (iv) using the Services in the manner instructed by Invoice Cloud and the manufacturer and otherwise in the manner intended. 2. Xxxxxx shall be solely responsible for ensuring that Xxxxxx’x employees and contractors are not security risks. Xxxxxx will be solely responsible for the selection, implementation, and maintenance of security procedures and policies that are sufficient to ensure that (a) Xxxxxx’x use of the Network Connection is secure and is used only for authorized purposes, and (b) Xxxxxx’x business records and data are protected against improper access, use, loss, alteration or destruction. 3. Xxxxxx shall provide Invoice Cloud or the manufacturer with physical access to the kiosks upon request after reasonable advance notice. Xxxxxx shall not, nor allow any third party to, modify, repair, relocate, sell, lease, assign, encumber, or otherwise tamper with any of the kiosks without Invoice Cloud’s or the manufacturer’s express written consent. Any change of the location of the kiosks may warrant that Xxxxxx pay Invoice Cloud any additional installation and related charges associated with such relocation, charged by Invoice Xxxxx’s third-party vendors. At the end of the term, Xxxxxx shall be responsible to de-install all kiosks, return all kiosks, freight prepaid by Xxxxxx, to Invoice Cloud at the place from which kiosks was shipped (or as otherwise designated by Invoice Cloud) in as good condition as exists at the commencement of the term, reasonable wear and tear, excepted. Xxxxxx shall use and ensure that the kiosks are at all times used in a workmanlike manner and in such manner as will not damage or injure the kiosks except by the ordinary wear and tear of such kiosks. In the event of damage to any kiosks, Xxxxxx shall promptly notify Invoice Cloud who shall replace or repair the kiosks at Xxxxxx’x expense.

Xxxxxx is solely responsible for for: (i) adopting, implementing, and maintaining appropriate and effective security measures, procedures, policies, and standards, and any other best practice available to protect the confidentiality of Xxxxxx Transmitted Information, (iiiii) protecting the confidentiality of any information stored on Xxxxxx’x servers, and (iviii) using the Services Kiosks in the manner instructed by Invoice Cloud and the manufacturer manufacturer/supplier and otherwise in the manner intended. 2. Xxxxxx shall be solely responsible for ensuring that Xxxxxx’x employees and contractors are not security risks. Xxxxxx will be solely responsible for the selection, implementation, and maintenance of security procedures and policies that are sufficient to ensure that (a) Xxxxxx’x use of the Network Connection applicable network connection is secure and is used only for authorized purposes, and (b) Xxxxxx’x business records and data are protected against improper access, use, loss, alteration or and destruction. 3. Xxxxxx’x local Kiosk administrator(s), as designated and appointed by Xxxxxx, are solely responsible for updating Xxxxxx’x installed Kiosks with critical updates and service packs as they become available, in similar fashion to updates performed on other computers on Xxxxxx’x network. Antivirus software is NOT included in the standard Kiosk configuration. Xxxxxx’x local Kiosk administrator(s), as designated and appointed by Xxxxxx, are solely responsible for installing antivirus software and ensuring that the virus definition files are kept current. 4. Xxxxxx agrees to take all reasonable and necessary precautions to secure and protection the Kiosks. Xxxxxx agrees to provide a secure physical location with sufficient electrical power for all Kiosk equipment located at Xxxxxx’x site. Xxxxxx shall defend, indemnify and hold harmless Invoice Cloud and the Kiosk manufacturer and supplier from and against any losses or damages caused by a failure of Kiosk site security at or within Xxxxxx’x premises or criminal misconduct directed at or involving or impacting the Kiosks. 5. Xxxxxx shall provide Invoice Cloud or the manufacturer manufacturer/supplier with physical access to the kiosks Kiosks upon request after reasonable advance notice. Xxxxxx shall not, nor allow any third party to, modify, repair, relocate, sell, lease, assign, encumber, or otherwise tamper with any of the kiosks Kiosks without Invoice Cloud’s or the manufacturer’s express written consent. Any change of the location of the kiosks Kiosks may warrant that Xxxxxx pay Invoice Cloud any additional installation and related charges associated with such relocation, charged by Invoice Xxxxx’s third-party vendors. Xxxxxx shall use use, and shall ensure that the kiosks Kiosks are at all times used used, in a workmanlike manner and in such manner as will not damage or injure the kiosks Kiosks except by the ordinary wear and tear of such kiosksKiosks. In the event of damage to any kiosksKiosks, Xxxxxx shall promptly notify Invoice Cloud who shall replace facilitate the replacement or repair of the kiosks Kiosks at Xxxxxx’x expense.
