Responsibilities of Member. Member shall receive ACH Entries from Alloya and may originate return and NOC Entries using Alloya’s ACH System.
(A) Member is responsible for retrieving files containing ACH Entries from Alloya’s ACH System. Member must promptly advise Alloya if it does not receive the file by the expected delivery date.
(B) Member warrants that all return and NOC Entries are properly authorized and conform to NACHA Rules.
(C) Member warrants that the information contained within the corrected data field of a NOC Entry is correct.
(D) Member may receive ACH Entries or transmit return and NOC Entries to/from Alloya through its third party service provider (TPSP). Member agrees it has full responsibility and liability for all actions performed by TPSP and that TPSP shall comply with all applicable provisions of the MMA and the ACH Services Agreement with respect to its transmission of such Entries. Member agrees to indemnify Alloya against and hold it harmless from any loss incurred by any person or entity because of any of TPSP's actions or failures to act, specifically including all costs and attorney fees which may be incurred by Alloya.
(E) Member is liable for all Entries transmitted by Alloya on its behalf to the ACH Operator.
(F) Member must transmit Entries prior to the cutoff time. Entries received after the cutoff time shall be deemed to be received on the next business day.
Responsibilities of Member. Member may submit ACH origination Entries to Alloya by use of Alloya’s ACH System.
(A) Member is responsible for ensuring that the origination of ACH Entries complies with U.S. laws, including but not limited to sanctions enforced by the Office of Foreign Assets Control.
(B) Member warrants that:
(1) All Entries are properly authorized and conform to NACHA Rules;
(2) Each person or entity shown as the Receiver on an Entry received by Alloya from Member has authorized the initiation of such Entry and the crediting or debiting of its account in the amount and on the Effective Entry Date shown on such Entry;
(3) Such authorization is operative at the time of transmittal;
(4) At the time the Entry is transmitted to the ACH Operator by Alloya, Member does not have actual knowledge of the revocation or termination of the authorization by the Receiver;
(5) The Receiver’s authorization is neither inoperative nor ineffective by operation of law, nor has it been terminated by operation of law;
(6) Entries transmitted to Alloya by Member are limited to those types of Entries and NACHA Standard Entry Class Codes agreed upon by Alloya and Member;
(7) Member has provided all written disclosures required by NACHA Rules and all applicable laws and regulations to all consumers on whose behalf Alloya performs any Service.
(C) Member acknowledges and agrees that, if an Entry describes the Receiver inconsistently by name and account number, payment of the Entry transmitted by Alloya to the RDFI may be made by the RDFI on the basis of the account number supplied by Member, even if it identifies a person different from the named Receiver, and that the Member’s obligation to pay the amount of the Entry to Alloya is not excused in such circumstances. Member is liable for and must settle with Alloya for any Entry initiated by Member that identifies the Receiver by account or identifying number or by name and account or identifying number.
(D) Member shall be bound by and comply with the provision of UCC4A making payment of an Entry by the RDFI to the Receiver provisional until receipt by the RDFI of final settlement for such Entry. Member specifically acknowledges that it has received notice of the rule regarding provisional payment and of the fact that, if such settlement is not received, the RDFI shall be entitled to a refund from the Receiver of the amount credited and Member shall not be deemed to have paid the Receiver the amount of the Entry.

Responsibilities of Member. Member shall
a) make payments to NIXI as per the Financial Schedule as applicable to the Member by the due date. No refund of charges will be made under any circumstances.
b) at his own cost ensure the faultless connection of its Network through Leased line (or any other connecting medium such as Radio link, VSAT, Fibre, ATM, Frame relay etc.) to the NIXI network, as per the Technical Requirements of NIXI.
c) Be solely responsible for all charges (including insurance, maintenance, repairs, configuration, operation etc) related to the Member Equipment.
d) provide 24x7 operational contact details for the use of NIXI staff and other NIXI Members as required by NIXI.
e) ensure that its usage of the Connection / NIXI’s network is not detrimental in any way and does not cause damage to the NIXI network / infrastructure or to the usage of NIXI by the other Members or to the traffic exchange thereon.
f) Insure its equipments (including third party insurance) while it is in the NIXI racks.
g) not hold NIXI responsible for the content of its traffic being transmitted through NIXI network
h) Be solely responsible for the Member’s own violation of the conditions of it’s the ISP License(s) issued to it by the Department of Telecom, Ministry of Communications & IT, under which he is authorized to provide Internet Services and connect to NIXI

Responsibilities of Member. Member is responsible for all Entries originated by Member’s business member and warrants that all Entries are authorized and conform to NACHA Rules. If Member settles through Alloya, all settlements generated by Entries created by Member’s business member will settle to Member’s account at Alloya.
Responsibilities of Member. The Sunrise Village Lodge is available for use between 7 am and 11 pm. All property of the Lodge, i.e., tables and chairs, is not available for use outside of the Lodge. The Lodge is for the private, non-commercial use of members and their guests. Events that are advertised or open to the general public and/or require the participants to pay are not allowed. Use by a member or small groups of members and guests for artistic, social, charitable or other non-commercial purposes may be permitted by the manager without charge when the Lodge is not in demand if the group is no larger than 12, and the use will not cause undue wear and tear, damage or expense to the facility or association. All groups larger than 12 members including guests will be required to pay the lodge use fee. Pets are prohibited from the Lodge except for those specially trained in the assistance of humans (example: seeing-eye dogs). To ensure that the Lodge facility is returned to its original condition, please use the attached checklist to insure all items have been taken care of properly. If member fails to do the above items, the Sunrise Village Association may cause such work to be done at member’s expense. Member shall obey all laws and not permit any noise or other activities that may disturb residents of the neighborhood. In addition, member and member’s guests shall comply with any other rules and regulations of the association pertaining to use of the facilities as may be attached to this agreement.
Responsibilities of Member. Member agrees to do the following:
1. Enter into any contracts or agreements required by any Federal Reserve Bank, or by any funds transfer system, image exchange system or clearinghouse, for Alloya to provide to Member the Services to be performed pursuant to this POA.
2. Promptly review reports, data files, statements, advices and other notifications sent by Alloya to Member, and promptly report to Alloya any discrepancies between any such notification or report and Member’s records. The time limits for error notification by Member under this POA will be the time limits that are set forth in this document, or in the Operating Manual, or in the applicable Third‐Party Rules.
3. Provide the additional hardware (if any) that is deemed necessary by Alloya for Member’s utilization of Alloya’s Remote Deposit Capture services and maintain such hardware in good operating condition.
4. Acquire from Alloya the additional software (if any) that is deemed necessary by Alloya for Member’s utilization of Alloya’s Remote Deposit Capture services and pay any annual or monthly maintenance fees imposed by Alloya for maintenance of such software.
5. Provide to its members, as and when required by Check 21, the consumer awareness disclosure about Substitute Checks that is required by Check 21.
6. Provide the expedited recredit that Check 21 requires for consumers, if a proper claim is made by one of Member’s consumer members or account‐holders.
7. Respond promptly, as and when required by Check 21, to any claim made against Member under Check 21 for expedited recredit.

A. Conform to the policies, procedures and protocols of the Group, as set forth on the Group Members homepage at xxxx://xxxx.xxxxx.xx.xx/wyld/wyldco.html.
X. Xxxxxxx, maintain, and share bibliographic data according to standards and guidelines for database quality, as set forth in Database Guidelines posted on the Group Members homepage at xxxx://xxxx.xxxxx.xx.xx/wyld/wyldco.html.
C. Not connect to WYLD Network system any equipment and/or software without approval from the Agency staff.
D. Use equipment and software that meets standards as posted on the Group Members homepage at xxxx://xxxx.xxxxx.xx.xx/wyld/wyldco.html and as recommended by the Agency staff in consultation with Group members.
E. Maintain the confidentiality of system proprietary software/hardware.
F. Be responsible for security of software and hardware.
G. Be responsible for maintenance of its own equipment, peripherals, wiring, and internal software that is connected to the WYLD Network system.
H. Participate in Group activities and abide by the Bylaws of the Group as posted on the Group Members homepage at xxxx://xxxx.xxxxx.xx.xx/wyld/wyldco.html.
I. Pay Agency for any training which is beyond the scope described in Section 5(B) above. The Cost of any additional training shall be determined and agreed upon by the parties prior to any training taking place.
Responsibilities of Member. Member agrees to do the following:
1. Promptly review Alloya’s account statements and advices of debits and credits, and promptly report any discrepancies to Alloya in writing.
2. Submit item Return Requests (as referenced in Paragraph II [Payment of Checks; Related Matters] hereof) on a timely basis (as specified in the Operations Manual), in order to comply with applicable item return deadlines.
3. Have a thorough familiarity and understanding with the UCC rules and limitations on payments and stop payments on checks covered by this Agreement.
