Common use of Responsibility of Dual Directors, Officers and/or Employees Clause in Contracts

Responsibility of Dual Directors, Officers and/or Employees. If any person who is a director, officer, shareholder or employee of the Adviser is or becomes a director, officer, shareholder and/or employee of the Company and acts as such in any business of the Company, then such director, officer, shareholder and/or employee of the Adviser shall be deemed to be acting in such capacity solely for the Company, and not as a director, officer, shareholder or employee of the Adviser or under the control or direction of the Adviser, even if paid by the Adviser.

Responsibility of Dual Directors, Officers and/or Employees. If any person who is a directormanager, officerpartner, shareholder officer or employee of the Adviser Manager is or becomes a director, officer, shareholder officer and/or employee of the Company and acts as such in any business of the Company, then such directormanager, officerpartner, shareholder officer and/or employee of the Adviser Manager shall be deemed to be acting in such capacity solely for the Company, as applicable, and not as a directormanager, officerpartner, shareholder officer or employee of the Adviser Manager or under the control or direction of the AdviserManager, even if paid by the AdviserManager.

If any person who is a directormember, officermanager, shareholder partner, officer or employee of the Adviser is or becomes a director, officer, shareholder officer and/or employee of the Company Corporation and acts as such in any business of the CompanyCorporation, then such directormember, officermanager, shareholder partner, officer and/or employee of the Adviser shall be deemed to be acting in such capacity solely for the CompanyCorporation, and not as a directormember, officermanager, shareholder partner, officer or employee of the Adviser or under the control or direction of the Adviser, even if paid by the Adviser.

If any person who is a directormanager, officerpartner, shareholder member, officer or employee of the Adviser Manager is or becomes a director, officer, shareholder and/or officer or employee of the Company and acts as such in any business of the Company, then such directormanager, officerpartner, shareholder and/or member, officer or employee of the Adviser Manager shall be deemed to be acting in such capacity solely for the Company, and not as a directormanager, officerpartner, shareholder member, officer or employee of the Adviser Manager or under the control or direction of the AdviserManager, even if paid by the AdviserManager.

If any person who is a directormember, officermanager, shareholder partner, officer or employee of the Adviser is or becomes a director, officer, shareholder officer and/or employee of the Company a Client and acts as such in any business of the Companysuch Client, then such directormember, officermanager, shareholder partner, officer and/or employee of the Adviser shall be deemed to be acting in such capacity solely for the Companysuch Client, and not as a directormember, officermanager, shareholder partner, officer or employee of the Adviser or under the control or direction of the Adviser, even if paid by the Adviser.

If any person who is a directormanager, officerpartner, shareholder officer or employee of the Adviser Manager or its affiliates is or becomes a director, officer, shareholder officer and/or employee of the Company Fund and acts as such in any business of the CompanyFund, then such directormanager, officerpartner, shareholder officer and/or employee of the Adviser Manager or its affiliates shall be deemed to be acting in such capacity solely for the CompanyFund, and not as a directormanager, officerpartner, shareholder officer or employee of the Adviser Manager or its affiliates or under the control or direction of the AdviserManager, even if paid by the AdviserManager or an affiliate thereof.

If any person who is a directormanager, officerpartner, shareholder officer or employee of the Adviser Asset Manager is or becomes a director, officer, shareholder officer and/or employee of the Company and acts as such in any business of the Company, then such directormanager, officerpartner, shareholder officer and/or employee of the Adviser Asset Manager shall be deemed to be acting in such capacity solely for the Company, and not as a directormanager, officerpartner, shareholder officer or employee of the Adviser Asset Manager or under the control or direction of the AdviserAsset Manager, even if paid by the AdviserAsset Manager.

If any person who is a directormanager, officerpartner, shareholder officer or employee of the Adviser Advisor is or becomes a director, officer, shareholder officer and/or employee of the Company and acts as such in any business of the Company, then such directormanager, officerpartner, shareholder officer and/or employee of the Adviser Advisor or the Administrator shall be deemed to be acting in such capacity solely for the Company, and not as a directormanager, officerpartner, shareholder officer or employee of the Adviser Advisor or the Administrator or under the control or direction of the AdviserAdvisor or the Administrator, even if paid by the AdviserAdvisor or the Administrator.

If any person who is a directormember, officerCollection Manager, shareholder partner, officer or employee of the Adviser Collection Manager is or becomes a director, officer, shareholder officer and/or employee of the Company and acts as such in any business of the Company, then such directormember, officerCollection Manager, shareholder partner, officer and/or employee of the Adviser shall be deemed to be acting in such capacity solely for the Company, and not as a directormember, officerCollection Manager, shareholder partner, officer or employee of the Adviser Collection Manager or under the control or direction of the AdviserCollection Manager, even if paid by the AdviserCollection Manager.
