Common use of Responsibility of Escrow Agent Clause in Contracts

Responsibility of Escrow Agent. (a) The Escrow Agent shall be entitled to rely upon, and shall be fully protected from all liability, loss, cost, damage or expense in acting or omitting to act pursuant to, any instruction, order, judgment, certification, affidavit, demand, notice, opinion, instrument or other writing delivered to it hereunder without being required to determine the authenticity of such document, the correctness of any fact stated therein, the propriety of the service thereof or the capacity, identity or authority of any party purporting to sign or deliver such document.

Responsibility of Escrow Agent. (a) The Escrow Agent shall not be entitled responsible for the genuineness of any signature or document presented to it pursuant to this Escrow Agreement and may rely upon, conclusively upon and shall be fully protected from all liability, loss, cost, damage or expense in acting upon any judicial order or omitting to act pursuant todecree, any instruction, order, judgment, certification, affidavit, demandcertificate, notice, opinionrequest, instrument consent, statement, instruction or other writing delivered instrument believed by it in good faith to it hereunder without being required be genuine or to determine be signed or presented by the authenticity of proper person hereunder, or duly authorized by such document, the correctness of any fact stated therein, the propriety of the service thereof person or the capacity, identity or authority of any party purporting to sign or deliver such documentproperly made.
