Common use of Responsible Officer’s Certificates Clause in Contracts

Responsible Officer’s Certificates. The Administrative Agent shall have received a certificate signed by a Responsible Officer, dated as of the Closing Date and in form and substance reasonably satisfactory to it, certifying (A) that the conditions specified in Sections 5.2(a) and (d) have been satisfied, and (B) that there has been no event or circumstance since December 31, 2021, that has had or that could reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.

Responsible Officer’s Certificates. The Administrative Agent shall have received a certificate signed by a Responsible Officer, dated as of the Closing Date and in form and substance reasonably satisfactory to it, certifying (A) that the conditions specified in Sections 5.2(a5.3(a) and (de) have been satisfied, and (B) that there has been no event or circumstance since December 31June 30, 2021, 2020 that has had or that could reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.

The Administrative Agent shall have received a certificate signed by a Responsible OfficerOfficer of Holdings, dated as of the Closing Date and in form and substance reasonably satisfactory to it, certifying (A) that the conditions specified in Sections 5.2(a) and (d) have been satisfied, and (B) that there has been no event or circumstance since December January 31, 20212020, that has had or that could reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.
