Common use of Restricted End Users Clause in Contracts

Restricted End Users. Purchaser represents and warrants that it is not a Restricted Party (defined as any party listed in the United States’ Consolidated Screening List found at xxxxx://xxx.xxxxx.xxx/consolidated-screening-list, (ii) the European Union’s Consolidated list of persons, groups, and entities subject to European Union financial sanctions found at xxxxx://xxxx.xxxxxx.xx/data/datasets/consolidated-list-of-persons-groups-and-entities-subject-to-eu-financial-sanctions?locale=en, (iii) the United Kingdom’s Consolidated List of Financial Sanctions Targets in the UK found at xxxxx://xxxxxxxxxxx.xxxx.xxxx.xxxxxxx.xxx/publishlive/2022format/ConList.pdf, or (iv) any other applicable restricted party list) and is not directly or indirectly owned by one or more parties included in the foregoing lists. Purchaser will not directly or indirectly engage in any transaction involving Supplier products, technology, or software in violation of restrictions on individuals and entities listed in the foregoing lists or any other applicable restricted party list.
