Restricted Share Plan Sample Clauses
A Restricted Share Plan is a provision that grants company shares to employees or other participants, subject to certain restrictions such as vesting periods or performance conditions. Typically, recipients cannot sell or transfer these shares until specific requirements are met, such as remaining with the company for a set period or achieving defined performance targets. Restricted Share Plan. As of the Closing, the Purchaser shall establish a discretionary restricted share unit pool consisting of [***] Purchaser Shares under a restricted share plan (the “Restricted Share Plan”) to be established by the Purchaser to be used for purposes of retaining and incentivizing key employees of the Companies, the Subsidiaries and the Group Companies who are employed by such Persons as of the Closing (the “Key Employees”). Grants of restricted Purchaser Shares under the Restricted Stock Plan shall be made by the Purchaser substantially contemporaneously with the date of the Closing to those Key Employees who are selected by the Purchaser, with consent of the Seller acting reasonably, to participate in the Restricted Stock Plan.
Restricted Share Plan. In accordance with the rules of the 2004 Equity Incentive Plan, all shares of Restricted Stock granted to the Employee will be forfeited on the Termination Date.
