Common use of Restrictions Included in Contribution Agreements Clause in Contracts

Restrictions Included in Contribution Agreements. Each Series A-1 Preferred Partner acknowledges and agrees that, notwithstanding anything to the contrary in this Agreement, (a) the transfer or exchange of a portion of the Series A-1 Preferred Units are restricted by the provisions of the applicable Contribution Agreements, and (b) such Series A-1 Preferred Partner shall not transfer or exchange any Series A-1 Preferred Units in violation of any such restrictive provisions.

Each Series A-1 A-3 Preferred Partner acknowledges and agrees that, notwithstanding anything to the contrary in this Agreement, (a) the transfer or exchange of a portion of the Series A-1 A-3 Preferred Units are restricted by the provisions of the applicable Contribution Agreements, and (b) such Series A-1 A-3 Preferred Partner shall not transfer or exchange any Series A-1 A-3 Preferred Units in violation of any such restrictive provisions.
