Common use of Restrictions on Landlord Clause in Contracts

Restrictions on Landlord. The Landlord shall not assign this Ground Lease or sell the Project Site, in whole or in part, (including without limitation by transfer of control or otherwise) without the prior written consent of the Tenant, which consent shall not be unreasonably withheld, delayed, or conditioned, except with respect to the Tenant’s right of first refusal as set forth in Section 14.3. This Ground Lease shall inure to the benefit of and shall be binding upon the Landlord’s permitted assigns.

The Landlord shall not assign this Ground Lease or sell the Project Site, in whole or in part, directly or indirectly (including without limitation by transfer of control or otherwise) without the prior written consent of the Tenant; provided, which however, that such written consent of the Tenant shall not be unreasonably withheld, delayed, or conditioned, except with respect to the Tenant’s right so required if an Event of first refusal as set forth Default described in Section 14.315.1(a) has occurred and is then continuing. This Ground Lease shall inure to the benefit of and shall be binding upon the Landlord’s permitted assignsassigns and/or vendees.
