Restrictions on Sales of Control of the Company. No Member shall be a party to any Units Sale unless all holders of the issued and outstanding Preferred Units are allowed to participate in such Units Sale and the consideration received pursuant to such Units Sale is allocated among the parties thereto in the manner specified in this Agreement (as in effect immediately prior to such Units Sale) with respect to a Sale of the Company, unless the Majority Preferred Members elect otherwise by written notice given to the Company at least five (5) days prior to the effective date of the transaction or series of related transactions that constitutes such Units Sale.

Restrictions on Sales of Control of the Company. No Member shall be a party to any Units Unit Sale unless all holders of the issued and outstanding Preferred Units are allowed to participate in such Units Sale transaction and the consideration received pursuant to such Units Sale transaction is allocated among the parties thereto in the manner specified in Section ‎8.01 of this Agreement (as in effect immediately prior to the Unit Sale (as if such Units Sale) with respect to transaction were a Sale Change of the CompanyControl), unless the Majority Requisite Series A Preferred Members Holders and Requisite Series B Preferred Holders elect otherwise by written notice given to the Company at least five ten (510) days prior to the effective date of the any such transaction or series of related transactions that constitutes such Units Saletransactions.
