Common use of Restrictive Documents Clause in Contracts

Restrictive Documents. The Company is not subject to, or a party to, any restriction under its Articles, any Law, any Claim, any Contract or instrument, any Encumbrance or any other restriction of any kind or character which would prevent or restrict (i) the consummation of the transactions contemplated by this Agreement; (ii) the compliance by the Company with the terms, conditions and provisions hereof; (iii) the declaration of dividends by the Company; or (iv) the operation of the Business by the Company after the date hereof.

Restrictive Documents. The Company is not subject to, or a party to, any restriction under its Articlescharter, any by-law, mortgage, lien, lease, license, Permit, agreement, contract, instrument, Law, any Claimrule, any Contract ordinance, regulation, order, judgment or instrumentdecree, any Encumbrance or any other restriction of any kind or character character, which would prevent or restrict (i) the consummation of the transactions contemplated by this Agreement; Contribution Agreement or (ii) the compliance by the Company with the terms, conditions and provisions hereof; (iii) the declaration of dividends by the Company; or (iv) the operation of the Business by the Company after the date hereof.
