Common use of Restrictive Documents Clause in Contracts

Restrictive Documents. The Seller is not subject to, or a party to, any charter, by-law, mortgage, lien, lease, license, permit, agreement, contract, instrument, law, rule, ordinance, regulation or order, or any other restriction of any kind or character that: (a) would prevent consummation of the transactions contemplated by this Agreement or any other agreement contemplated herein or (b) does or would materially and adversely affect the value of the Copytron Assets.
