Common use of Retaining Costs Clause in Contracts

Retaining Costs. If Microsoft removes your Product from the Store and/or any Customer's device(s) for breach of this Agreement or in response to an allegation of intellectual property infringement, Microsoft may deduct any costs incurred in connection with the removal of such Product from any Product Proceeds. If Microsoft terminates or suspends your Partner Center Account for breach of this Agreement, Microsoft will deduct any costs incurred in connection with closing or suspending your Partner Center Account from any Product Proceeds otherwise payable to you and may retain Product Proceeds if appropriate under the circumstances.
