RETURN OF CERTIFICATES ON XXXXXXXXXX AND WXXXXXXX XX XXXXCISE. 1. Upon any conversion by the Purchaser or the Insider of less than all of the Series B Preferred Stock or the Series C Preferred Stock, as applicable, pursuant to the terms of the respective certificates of designation, the Company shall issue and deliver to the Purchaser or the Insider, as the case may be, within 7 business days of the date of conversion, a new certificate or certificates for, as applicable, the total number of shares of the Series B Preferred Stock or Series C Preferred Stock, in each case, which the Purchaser or the Insider, as the case may be, has not yet elected to convert (with the number of and denomination of such new certificate(s) designated by the Purchaser or the Insider, as the case may be). 2. Upon any partial exercise by the Purchaser or the Insider of the Warrants, the Company shall issue and deliver to the Purchaser or the Insider, as applicable, within 7 business days of the date on which the Warrants is exercised, a new Warrants representing the number of adjusted shares of Common Stock covered thereby, in accordance with the terms thereof.
