Common use of Return of Documentation and Confidentiality Clause in Contracts

Return of Documentation and Confidentiality. Upon termination of this Agreement, Buyer, at its sole option, shall return to Seller or shall destroy all title, engineering, environmental assessments or reports, maps and other information furnished by or on behalf of Seller to Buyer or prepared by or on behalf of Buyer in connection with its due diligence investigation of the Assets, in each case, in accordance with the Confidentiality Agreements (and subject to such retention rights as are provided in the Confidentiality Agreements) and an officer of Buyer shall certify same to Seller in writing.

Return of Documentation and Confidentiality. Upon termination of this Agreement, Buyer, at its sole option, Buyer shall return to Seller or shall destroy all title, engineering, environmental assessments or and/or reports, maps and other information furnished by or on behalf of Seller to Buyer or prepared by or on behalf of Buyer in connection with its due diligence investigation of the Assets, in each case, in accordance with the Confidentiality Agreements Agreement (and subject to such retention rights as are provided in the Confidentiality AgreementsAgreement) and an officer of Buyer shall certify same to Seller in writing.

Upon a termination of this Agreement, Buyer(a) Buyer shall either, at its Buyer’s sole option, shall (i) destroy or (ii) return to Seller or shall destroy all title, engineering, geological and geophysical data, environmental assessments or and/or reports, maps maps, documents and other information furnished by or on behalf of Seller to Buyer or prepared by or on behalf of Buyer in connection with its due diligence investigation of the Assets, in each case, in accordance with the Confidentiality Agreements Assets and (and subject to such retention rights as are provided in the Confidentiality Agreementsb) and an officer of Buyer shall certify confirm same to Seller in writing.

Upon termination of this Agreement, Buyer, at its sole option, Buyer shall return to Seller Sellers or shall destroy all title, engineering, environmental assessments or and/or reports, maps and other information furnished by or on behalf of Seller Sellers to Buyer or its Representatives or prepared by or on behalf of Buyer or its Representative in connection with its due diligence investigation of the Assets, in each case, in accordance with the Confidentiality Agreements Agreement (and subject to such retention rights as are provided in the Confidentiality Agreements) and an officer of Buyer shall certify same to Seller in writingAgreement).

Upon Promptly after the termination of this Agreement, Buyer, at its sole option, Buyer shall destroy or return to Seller or shall destroy all title, engineering, geological and geophysical data, environmental assessments or and/or reports, maps and other information furnished by or on behalf of Seller to Buyer or or, if not prepared by Buyer, prepared by or on behalf of Buyer in connection with its Buyer’s due diligence investigation of the AssetsConveyed Interests and, in each caseif Buyer elects to destroy any such information, in accordance with the Confidentiality Agreements (and subject to such retention rights as are provided in the Confidentiality Agreements) and an officer of Buyer shall certify same the destruction of such information to Seller in writing.
