Common use of Return of Loan Asset Files Clause in Contracts

Return of Loan Asset Files. The Borrower may, with the prior written consent of the Administrative Agent (such consent to be given at the direction of the Majority Lenders and not to be unreasonably withheld, conditioned or delayed), or the Portfolio Asset Servicer may require that the Collateral Custodian return each Loan Asset File (a) delivered to the Collateral Custodian in error or (b) released from the Lien of the Administrative Agent hereunder pursuant to Section 2.11, in each case by submitting to the Collateral Custodian a written request in the form of Exhibit E (signed by the Borrower with respect to the Portfolio Assets and, during the continuation of an Event of Default, the Administrative Agent) specifying the Loan Asset File to be so returned and reciting that the conditions to such release have been met (and specifying the Section or Sections of this Agreement being relied upon for such release). For the avoidance of doubt, unless an Event of Default is continuing, no consent of the Administrative Agent shall be required in connection with any such release of a Loan Asset File in accordance with this Section. The Collateral Custodian shall upon its receipt of each such request for return executed by the Borrower and the Portfolio Asset Servicer or, during the continuation of an Event of Default, Administrative Agent promptly, but in any event within five (5) Business Days, return the Loan Asset File so requested to the Borrower or the Portfolio Asset Servicer, as applicable.
