Common use of Returns and Other Elections Clause in Contracts

Returns and Other Elections. The Tax Matters Member shall cause the preparation and timely filing of all tax and information returns required to be filed by the Company pursuant to the Code and all other tax and information returns deemed necessary and required in each jurisdiction in which the Company does business. Copies of such returns, or pertinent information from such returns, shall be furnished to the Members and Unit Holders within a reasonable time after the end of the Company's Fiscal Year. Except as otherwise expressly provided to the contrary in this Agreement, all elections by the Company under federal or state laws shall be approved by the Manager.
