Reverse Share Splits. If the number of Common Shares outstanding at any time on or after the Series B Effective Date is decreased by a combination of the outstanding Common Shares, then, following the record date of such combination, the then current Series B Conversion Price shall be appropriately increased so that the number of Common Shares issuable on conversion of each Series B Preferred Share shall be decreased in proportion to such decrease of the aggregate number of Common Shares outstanding.

Reverse Share Splits. If the number of Equity Shares outstanding at any time after the date hereof is decreased by a combination of the outstanding Equity Shares (without a corresponding combination of the Preference Shares), then, following the record date of such combination, the Conversion Ratio for the Preference Shares shall be appropriately adjusted so that the number of Equity Shares issuable on conversion of each Preference Share shall be decreased in proportion to such decrease in outstanding Equity Shares.
