REVERSE SPLIT; NAME CHANGE; INFORMATION STATEMENT. Prior to and after the Closing, the Company and the MRI Representatives shall cooperate with and assist HomeZipR and the Selling Stockholders and their counsel in taking such action as is necessary, including without limitation the filing of an Information Statement pursuant to Section 14(c) of the Securities and Exchange Act of 1934, to obtain, as soon as is reasonably practicable after the Closing, the Company's shareholders' approval with respect to (i) the Reverse Split of the Company's common stock and (ii) changing the Company's name to ▇▇▇▇▇▇▇▇.▇▇▇ Corp. (or such other name as HomeZipR shall designate).
