REVIEW BY PARTIES AND THEIR LEGAL COUNSEL. 11.1 The parties represent that they have read this Agreement and acknowledge that they have discussed its contents with their respective legal counsel or have been afforded the opportunity to avail themselves of the opportunity to the extent they each wished to do so. 11.2 Employee has been advised by the Employer that he should consider seeking the advice of counsel in connection with the execution of this Agreement and Employee has had an opportunity to do so. Employee has read and understands this Agreement, and has sought the advice of counsel to the extent he has determined appropriate. 11.3 Each person executing this Agreement in a representative capacity represents and warrants that he or she has full power and authority to execute this Agreement on such entities’ behalf and that this Agreement is binding and enforceable against such entity.
