Common use of Review by Underwriter’s Counsel Clause in Contracts

Review by Underwriter’s Counsel. The authorization of the Units, the Shares, the Warrants, the Underwriter’s Options, and the Common Stock issuable upon the exercise of the Warrants and the Underwriter’s Options, the Registration Statement, the Effective Prospectus and the Final Prospectus and all corporate proceedings and other legal matters incident thereto and to this Agreement shall be reasonably satisfactory in all respects to counsel to the Underwriter.

Review by Underwriter’s Counsel. The authorization of the Units, the Shares, the Warrants, the Warrant Shares, the Underwriter’s OptionsWarrants, and the Common Stock issuable upon the exercise of the Warrants and the Underwriter’s OptionsWarrant Shares, the Registration Statement, the Effective Prospectus and the Final Prospectus and all corporate proceedings and other legal matters incident thereto and to this Agreement shall be reasonably satisfactory in all respects to counsel to the Underwriter.
