Review of Proceedings Sample Clauses

Review of Proceedings. All actions, proceedings, instruments, and documents required to carry out this Agreement, or any agreement incidental thereto and all other related legal matters shall be subject to the reasonable approval of counsel to Purchaser, and Seller shall have furnished such counsel for Purchaser such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required by the Parent and the Merger-Sub to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of X'Xxxxxx & Xxxxxx, counsel to the Parent and the Merger-Sub, and Xxxxxxxxxxxx.xxx shall have furnished such documents as such counsel may have reasonably requested for the purpose of enabling it to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required by Xxxxxxxxxxxx.xxx to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of Camhy Xxxxxxxxx & Xxxxx LLP, counsel to Xxxxxxxxxxxx.xxx, and the Parent and the Merger-Sub shall have furnished such documents as such counsel may have reasonably requested for the purpose of enabling it to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of LGA's counsel and any counsel to the Shareholders, and Xxxxx shall have furnished that counsel those documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required to carry out each of the Transaction Agreements and each of the documents contemplated thereby or in connection therewith and all other related legal matters shall be subject to the reasonable approval of Xxxxx Xxxxxxxxxxx LLC, counsel to the Purchaser, and Seller shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required of DGD to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of counsel to Xxxxxx and DGD shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required by Duck to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of Camhy Xxxxxxxxx & Xxxxx LLP, counsel to Duck, and the Parent and the Merger-Sub shall have furnished such documents as such counsel may have reasonably requested for the purpose of enabling it to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required by the Parent and the Merger-Sub to carry out this Agreement or incidental thereto and all other related legal matters shall be subject to the reasonable approval of Xxxxxxx Xxxxx & Xxxxx LLP, counsel to the Parent and the Merger-Sub, and Duck shall have furnished such documents as such counsel may have reasonably requested for the purpose of enabling it to pass upon such matters.

Review of Proceedings. All actions, proceedings, instruments, and documents required to carry out this Agreement, the Winsonic Disclosure Schedule and any other certificate or document delivered pursuant to this Agreement or incidental to any of them and all other related legal matters shall be subject to the reasonable approval of Snow Xxxxxx Xxxxxx P.C., counsel to Parent and Merger Sub, and Winsonic and Shareholder shall have furnished such counsel such documents as such counsel may have reasonably requested for the purpose of enabling them to pass upon such matters.
