Review of Title Records. Upon execution of this Agreement, Seller shall make available to Buyer during reasonable business hours Records in Seller's possession relating to the title to the Properties. Buyer shall be entitled to review said title Records. Buyer shall have the right to reasonably request copies of any and all such title Records and upon such request, Seller shall provide the requested copies to Buyer at Buyer's expense.

Review of Title Records. After execution and delivery of this Agreement and prior to the Closing Date, Seller shall make available to Buyer and Buyer’s representatives, at reasonable times during Seller’s regular business hours and at their current locations (or such other locations as Seller designates) upon reasonable notice, for examination and copying, at Buyer’s expense, Records in Seller’s possession relating to title to the Properties. If Buyer requests copies of title Records, Seller shall use its Commercially Reasonable Efforts to provide the requested copies to Buyer at Buyer’s expense. Such review will be subject to the terms of the Confidentiality Agreement.
Review of Title Records. Not later than (i) five (5) Business Days after the execution and delivery of the Agreement with respect to the Properties set forth on Schedule 4.1 or (ii) August 2, 2010 with respect to all other Properties, Seller shall make available (during Seller’s regular business hours and at their current location) for Buyer’s review, Records in Seller’s and its Affiliates’ possession relating to title to the Properties. If Buyer requests copies of title Records, Seller shall use its commercially reasonable efforts to provide the requested copies to Buyer at Buyer’s expense. Review of Title Records. Prior to execution and delivery of this Agreement, Seller has made available for Buyer’s review, Records in Seller’s possession relating to title to the Acquired Properties. Buyer has informed Seller that it has undertaken a review of all such Records and is also conducting such independent examinations and investigations as it deems appropriate with respect to the Acquired Properties.

Review of Title Records. From and after the Execution Date and up to and including the date on which the Records are delivered to Buyer pursuant to Section 6.3 (or earlier termination of the Agreement), Seller shall make available for Buyer’s and its Representatives’ review, electronically only, the Records in Seller’s possession relating to title to the Assets. If Buyer requests copies of Records, Seller shall use Reasonable Efforts to provide the requested copies to Buyer at Buyer’s sole cost and expense. Such review of Records will be conducted in accordance with the terms of the Confidentiality Agreement. Under no circumstances shall Seller or any of its Affiliates be required to prepare, or cause to be prepared, any title opinions or title records whatsoever.
