Revisions to Article II. (a) Section 2.5(a) of the Original Agreement (No Implied Licenses or Rights) is hereby amended by adding the following sentence at the end of Section 2.5(a): “Further, for purposes of clarity and notwithstanding any other provision of this Agreement, the licenses granted in Section 2.1 give Incyte no rights to utilize or exploit any [**] Antibody or any therapeutic preparation that contains one or more [**] Antibodies, and Agenus reserves the exclusive right under Agenus IP to Develop, Manufacture and Commercialize [**] Antibodies and therapeutic preparations containing [**] Antibodies for any use solely outside of the Hematology Field and Oncology Field.”
