Common use of Revocation of Prior Proxies Clause in Contracts

Revocation of Prior Proxies. The Stockholder hereby revokes all previous proxies granted with respect to any of the Shares owned by the Stockholder that would conflict with the terms of the Proxy granted hereby.

Revocation of Prior Proxies. The Stockholder hereby revokes any and all previous prior proxies granted or powers of attorney given by the Stockholder prior to the execution hereof with respect to any of the Shares owned by the Stockholder that would conflict inconsistent with the terms of the Proxy granted herebythis Section 2.

The Such Stockholder represents that any proxies heretofore given in respect of such Stockholder’s Subject Shares are revocable, that such Stockholder has taken any and all action necessary to revoke all such proxies, and that all such proxies are hereby revokes all previous proxies granted with respect to any of the Shares owned by the Stockholder that would conflict with the terms of the Proxy granted herebyrevoked.

Revocation of Prior Proxies. The Stockholder hereby revokes any and all previous prior proxies granted or powers of attorney given by Stockholder, and agrees not to grant any subsequent proxies or powers of attorney, as to the voting of the Shares with respect to any the subject matter of this Agreement and the Shares owned by the Stockholder that would conflict with the terms of the Proxy granted herebyMerger Agreement.
