Common use of Right Not to Act/ Right to Resign Clause in Contracts

Right Not to Act/ Right to Resign. The Subscription Receipt Agent shall retain the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, the Subscription Receipt Agent, in its sole judgment, determines that such act might cause it to be in non-compliance with any applicable anti-money laundering, anti-terrorist legislation or economic sanctions legislation, regulation or guideline. Further, should the Subscription Receipt Agent, in its sole judgment, determine at any time that its acting under this Subscription Receipt Agreement has resulted in its being in non-compliance with any applicable anti-money laundering, anti-terrorist legislation or economic sanctions legislation, regulation or guideline, then it shall have the right to resign on ten days’ written notice to the Corporation provided (i) that the Subscription Receipt Agent’s written notice shall describe the circumstances of such non-compliance; and (ii) that if such circumstances are rectified to the Subscription Receipt Agent’s satisfaction within such ten-day period, then such resignation shall not be effective.

The FT Subscription Receipt Agent shall retain the right not to act and shall not be liable for refusing to act if, due to a lack of information or for any other reason whatsoever, the FT Subscription Receipt Agent, in its sole judgment, determines that such act might cause it to be in non-compliance with any applicable anti-anti- money laundering, laundering or anti-terrorist legislation or economic sanctions legislation, regulation or guideline. Further, should the FT Subscription Receipt Agent, in its sole judgment, determine at any time that its acting under this FT Subscription Receipt Agreement has resulted in its being in non-non- compliance with any applicable anti-money laundering, laundering or anti-terrorist legislation or economic sanctions legislation, regulation or guideline, then it shall have the right to resign on ten 10 days’ written notice to the Corporation provided provided: (i) that the FT Subscription Receipt Agent’s written notice shall describe the circumstances of such non-compliance; and (ii) that if such circumstances are rectified to the FT Subscription Receipt Agent’s satisfaction within such ten10-day period, then such resignation shall not be effective.

Further, should the Subscription Receipt Agent, in its sole judgment, judgment determine at any time that its acting under this Subscription Receipt Agreement has resulted in its being in non-non- compliance with any applicable anti-money laundering, anti-terrorist legislation or economic sanctions legislation, regulation or guideline, then it shall have the right to resign on ten (10) days’ written notice to the Corporation Company and the Lead Agent provided (i) that the Subscription Receipt Agent’s written notice shall describe the circumstances of such non-non- compliance; and (ii) that if such circumstances are rectified to the Subscription Receipt Agent’s satisfaction satisfaction, acting reasonably, within such ten-day period, then such resignation shall not be effective.

Further, should the Subscription Receipt Agent, in its sole judgment, acting reasonably, determine at any time that its acting under this Subscription Receipt Agreement has resulted in its being in non-compliance with any applicable anti-money laundering, anti-terrorist legislation or economic sanctions legislation, regulation or guideline, then it shall have the right to resign on ten days’ ' written notice to the Corporation provided (ia) that the Subscription Receipt Agent’s 's written notice shall describe the circumstances of such non-compliancecompliance to the extent permitted by such applicable anti-money laundering, anti-terrorist or sanctions legislation, regulation or guideline; and (iib) that if such circumstances are rectified to the Subscription Receipt Agent’s satisfaction 's satisfaction, acting reasonably, within such ten-day period, then such resignation shall not be effective.
