Right of City to Suspend Giving Rise to Right of Consultant to Terminate. 10.3.1 City reserves the right to suspend this Agreement at the end of any phase of a project for the convenience of City by issuing a signed, written Notice of Suspension (citing this Section 10.3.1) which shall outline City’s reasons for the suspension and the expected duration of the suspension. Such expected duration shall, in no way, guarantee what the total number of days of suspension shall occur. Such suspension shall take effect immediately upon Consultant’s receipt of said Notice of Suspension. 10.3.2 Consultant hereby is given the right to terminate this Agreement, in the event such suspension extends for a period in excess of one hundred twenty (120) days. Consultant may exercise this right to terminate by issuing a signed, written Notice of Termination (citing this Section 10.3.2) to City after the expiration of one hundred twenty (120) days from the effective date of a suspension. Termination (under this Section 10.3.2) shall become effective immediately upon receipt of said written notice by City.
