Right of Contribution in Favour of Others. With respect to any Indemnified Party who is not a party to this Agreement, it is the intention of the Corporation to constitute the Agent as trustee for such Indemnified Party of the rights and benefits of this section and the Agent agrees to accept such trust and to hold the rights and benefits of this section in trust for and on behalf of such Indemnified Party.
