Authority of Lead Agent. All actions which must or may be taken by the Agents in connection with this Agreement, including any agreement, waiver, order, notice (other than a notice pursuant to section 13 or section 14 hereof), direction, receipt or other action to be made, given or taken by the Agents hereunder may be made, given or taken by the Lead Agent on behalf of the Agents and the Corporation shall accept notification of any such actions from, and deliver the certificates representing the Offered Securities to, or to the order of, the Lead Agent. The Lead Agent acknowledges that where practicable to do so it will discuss any action to be taken by it hereunder with the other Agents prior to taking such action, provided that the failure of the Lead Agent so to discuss will not detract from the right of the Corporation to rely on the action of the Lead Agent in accordance with the provisions of this subsection. Authority of Lead Agent. The Company shall be entitled to and shall act on any notice, request, direction, consent, waiver, extension and other communication given or agreement entered into by or on behalf of the Agents by the Lead Agent who shall represent the Agents and have authority to bind the Agents hereunder except in respect of any notice of termination or waiver under Article 9 or any matter referred to in Article 10. In all cases, the Lead Agent shall use its best efforts to consult with the other Agents prior to taking any action contemplated herein.
Authority of Lead Agent. 13.1 All steps or other actions which must or may be taken by the Agents in connection with this Agreement shall be taken by the Lead Agent, with the exception of the matters contemplated by sections 12 and 16, on the Agents’ behalf, and the execution of this Agreement by the Agents shall constitute the authority of the Company for accepting notification of any such steps or other actions from the Lead Agent.
Authority of Lead Agent. All actions (other than immaterial, technical corrections, which may be undertaken by the Lead Agent) which must or may be taken by the Agents in connection with this Agreement, including any agreement, waiver, order, notice, direction, receipt or other action to be made, given or taken by the Agents hereunder may be made, given or taken by the Lead Agent on behalf of the Agents following a collaboration with and consent by the U.S. Placement Agent, which consent will not be unreasonably withheld or delayed, and the Corporation shall accept notification of any such actions from the Lead Agent.
