Common use of Right of Contribution Clause in Contracts

Right of Contribution. Subject to Section 2(c), each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's right of contribution shall be subject to the terms and conditions of Section 2(c). The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers and each Guarantor shall remain liable to the Purchasers for the full amount guaranteed by such Guarantor hereunder.

Each Guarantor's ’s right of contribution shall be subject to the terms and conditions of Section 2(c)2.07. The provisions of this Section 2(b) 2.05 shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Trustee and the Holders, and each Guarantor shall remain liable to the Purchasers Trustee and the Holders for the full amount guaranteed by such Guarantor hereunder.

The provisions of this Section 2(b) 11.10 shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Agents, the L/C Issuers and the Lenders, and each Guarantor shall remain liable to the Purchasers Agents, the L/C Issuers and the Lenders for the full amount guaranteed by such Guarantor hereunder.

Right of Contribution. Subject to Section 2(c), each Each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's ’s right of contribution shall be subject to the terms and conditions of Section 2(c1(c). The provisions of this Section 2(b1(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Collateral Agent and the Noteholders, and each Guarantor shall remain liable to the Purchasers Collateral Agent and the Noteholders for the full amount guaranteed by such Guarantor hereunder.

Right of Contribution. Subject to Section 2(c), as among the Guarantor, each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's ’s right of contribution shall be subject to the terms and conditions of Section 2(c). The provisions of this Section 2(b) shall in no respect limit the joint and several obligations and liabilities of any Guarantor to the Purchasers Purchaser, and each Guarantor shall remain liable to the Purchasers Purchaser for the full amount of the Obligations guaranteed by such Guarantor hereunder.

Right of Contribution. Subject to Section 2(c), as among the Guarantor, each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's ’s right of contribution shall be subject to the terms and conditions of Section 2(c). The provisions of this Section 2(b) Paragraph 23 shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Guaranteed Parties, and each Guarantor shall remain liable to the Purchasers Guaranteed Parties for the full amount guaranteed by such Guarantor hereunder. 2 This Section is not applicable to General Partner Guaranty.

The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Lender, and each Guarantor shall remain liable to the Purchasers Lender for the full amount guaranteed by such Guarantor hereunder.

Right of Contribution. Subject to Section 2(c), each Each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment, but only after the Obligations then due have been satisfied. Each Guarantor's right of contribution shall be subject to the terms and conditions of Section 2(c). The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Subscribers, and each Guarantor shall remain liable to the Purchasers Subscribers for the full amount guaranteed by such Guarantor hereunder.

Subject to Section 2(c), each Each Guarantor hereby agrees that that, to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunderhereunder or in respect of the Obligations, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's right The provisions of contribution this Section 15(b) shall be subject to the terms and conditions of Section 2(c15(d). The provisions of this Section 2(b15(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Holder, and each Guarantor shall remain liable to the Purchasers Holder for the full amount guaranteed by such Guarantor it hereunder.

Subject to Section 2(c), each Each Guarantor hereby agrees that to the extent that a any Guarantor shall have paid more than its proportionate share of any payment made hereunderon the obligations under the Note Guarantees, such Guarantor shall be entitled to seek and receive contribution from and against the Company or any other Guarantor hereunder which who has not paid its proportionate share of such payment. Each Guarantor's right of contribution shall be subject to the terms and conditions of Section 2(c)3.6. The provisions of this Section 2(b) 11.3 shall in no respect limit the obligations and liabilities of any each Guarantor to the Purchasers Trustee and the Holders and each Guarantor shall remain liable to the Purchasers Trustee and the Holders for the full amount guaranteed by such Guarantor hereunder.

The provisions of this Section 2(b2(j) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Agent and the Secured Parties, and each Guarantor shall remain liable to the Purchasers Agent and the Secured Parties for the full amount guaranteed by such Guarantor hereunder.

Subject to Section 2(c), each Each Guarantor hereby agrees that to the extent that a any Guarantor shall have paid more than its proportionate share of any payment made hereunderon the Obligations under the Guarantees, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's right of contribution shall be subject to the terms and conditions of Section 2(c)4.13. The provisions of this Section 2(b) 11.6 shall in no respect limit the obligations and liabilities of any each Guarantor to the Purchasers Trustee and the Holders and each Guarantor shall remain liable to the Purchasers Trustee and the Holders for the full amount guaranteed by such Guarantor hereunder.

The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Investors and each Guarantor shall remain liable to the Purchasers Investors for the full amount guaranteed by such Guarantor hereunderhereunder until the indefeasible repayment in full of all amounts owed under the Purchase Agreement, the Notes and the otherTransaction Documents.

Right of Contribution. Subject to Section 2(c), each Each Guarantor hereby agrees that that, to the extent that a any Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled shall, to seek the extent applicable, have the rights with respect to such amounts set forth in the Indemnity, Subrogation and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such paymentContribution Agreement. Each Guarantor's ’s right of contribution shall be subject to the terms and conditions of Section 2(c)4 hereof. The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Secured Parties, and each Guarantor shall (subject to Section 2(b)) remain liable to the Purchasers Secured Parties for the full amount guaranteed by such Guarantor hereunder.

Right of Contribution. Subject to Section 2(c), each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's ’s right of contribution shall be subject to the terms and conditions of Section 2(c). The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Buyer and each Guarantor shall remain liable to the Purchasers Buyer for the full amount guaranteed by such Guarantor hereunderhereunder until the indefeasible repayment in full of all amounts owed under the Purchase Agreement, the Note and the other Transaction Documents.

Right of Contribution. Subject to Section 2(c), each Guarantor hereby agrees that to the extent that a Guarantor shall have paid more than its proportionate share of any payment made hereunder, such Guarantor shall be entitled to seek and receive contribution from and against any other Guarantor hereunder which has not paid its proportionate share of such payment. Each Guarantor's right of contribution shall be subject to the terms and conditions of Section 2(c). The provisions of this Section 2(b) shall in no respect limit the obligations and liabilities of any Guarantor to the Purchasers Vendor and each Guarantor shall remain liable to the Purchasers Vendor for the full amount guaranteed by such Guarantor hereunder.
