Common use of Right of Enforcement and Settlement Clause in Contracts

Right of Enforcement and Settlement. From and after the Closing Date, the Purchaser will have complete control over the payment, settlement or other disposition of the Assumed Liabilities and the right to commence, conduct and control all negotiations and proceedings with respect thereto. The Seller will notify the Purchaser promptly of any claim made with respect to any such Assumed Liabilities and will not, except with the Purchaser's prior written consent, voluntarily make any payment of, settle or offer to settle, or consent to any compromise or admit liability with respect to any such Assumed Liabilities. The Seller will cooperate with the Purchaser in any reasonable manner requested by the Purchaser in connection with any negotiations or proceedings involving any Assumed Liabilities.
