Corporate Organization;Ownership of Seller. Seller is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, with full corporate power and authority to carry on the Business as it is now being conducted and to own the Assets, and is duly qualified to do business and in good standing in the State of Texas. The Sole Shareholder directly owns all the authorized, issued and outstanding shares of capital stock of the Seller. Seller has no subsidiaries or partners. Seller does not conduct business in any states other than Texas and has no assets or properties located in any states other than Texas. Seller’s sole business activity is the conduct of the Business.
