Common use of Right of Inspection and Location Clause in Contracts

Right of Inspection and Location. (a) Lessor or its agents may, at reasonable times and with reasonable prior notice and without unreasonably interfering with the operations of Lessee's customers, inspect and examine at its own cost and expense (unless a Lease Event of Default exists, in which case the reasonable out-of-pocket costs and expenses of Lessor shall be paid by Lessee), any Unit. Lessee may accompany Lessor on any such inspections. (b) Lessee shall furnish to Lessor and the Collateral Agent, not less than once every six months during the Term, an Officer's Certificate, accurate in all material respects, stating the location of each Unit, noting whether any Equipment has been relocated and if so the correct address of the relocated Equipment. Lessor shall have no duty to make any such inspection or inquiry and shall not incur any liability or obligation by reason of not making any such inspection or inquiry.
