Right to a Retention Bonus. The Company previously granted the Executive the SARs. The Executive shall be entitled to receive the cash component of the Retention Bonus in the amount specified in Section 2.2 if, but only if: (a) The Executive remains in the Continuous Service of the Company as of the expiration of the Retention Period or the earlier occurrence of a Change in Control.
