Common use of Right to Bind Clause in Contracts

Right to Bind. An Affiliate of Member shall not have the right to exercise the rights granted to Member hereunder until the Board of Directors, or at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Agreement. As a condition of such approval, the Board of Directors, or at the direction of the Board of Direc- tors, an officer of the Alliance, may require written documentation that such Affili- ate has duly authorized Member and/or Member has the corporate authority to bind such Affiliate. The Board of Directors, or at the direction of the Board of Directors, an officer of the Alliance, may require additional proof of the relationship between Member and such Affiliate and/or may impose additional conditions or terms gov- erning such Affiliate’s participation in the Alliance through this Participation Agreement at any time, including, without limitation, prior to any access and/or use of any intellectual property or Confidential information by Member and/or any Affiliate under the terms of this Participation Agreement.

Right to Bind. An Affiliate of a Adopter Member shall not have the right to exercise the rights granted to the Adopter Member hereunder until the Board of Directors, or an officer of the Alliance at the direction of the Board of Directors, reviews and approves of such Affiliate’s participation in the Alliance through this Adopter Member Agreement. As a condition of such approval, the Board of Directors or, at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Agreement. As a condition of such approval, the Board of Directors, or at the direction of the Board of Direc- tors, an officer of the Alliance, may require written documentation that such Affili- ate Affiliate has duly authorized t h e Adopter Member and/or Adopter Member has the corporate authority to bind such Affiliate. The Board of DirectorsDirectors or, or at the direction of the Board of Directors, an officer of the Alliance, may require additional proof of the relationship between the Adopter Member and such Affiliate and/or may impose additional conditions or terms gov- erning governing such Affiliate’s 's participation in the Alliance through this Participation Adopter Member Agreement at any time, including, without limitation, prior to any access and/or use of any intellectual property or Confidential information by the Adopter Member and/or any Affiliate under the terms of this Participation Promoter Member Agreement.

An Affiliate of a Promoter Member shall not have the right to exercise the rights granted to the Promoter Member hereunder until the Board of Directors, or an officer of the Alliance at the direction of the Board of Directors, reviews and approves of such Affiliate’s participation in the Alliance through this Promoter Member Agreement. As a condition of such approval, the Board of Directors or, at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Agreement. As a condition of such approval, the Board of Directors, or at the direction of the Board of Direc- tors, an officer of the Alliance, may require written documentation that such Affili- ate Affiliate has duly authorized t h e Promoter Member and/or Promoter Member has the corporate authority to bind such Affiliate. An Affiliate of a Observer Member shall not have the right to exercise the rights granted to the Observer Member hereunder until the Board of Directors, or an officer of the Alliance at the direction of the Board of Directors, reviews and approves of such Affiliate’s participation in the Alliance through this Observer Member Agreement. As a condition of such approval, the Board of Directors or, at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Agreement. As a condition of such approval, the Board of Directors, or at the direction of the Board of Direc- tors, an officer of the Alliance, may require written documentation that such Affili- ate Affiliate has duly authorized t h e Observer Member and/or Observer Member has the corporate authority to bind such Affiliate. Right to Bind. An Affiliate of Member Adopter shall not have the right to exercise the rights granted to Member Adopter hereunder until the Board of Directors, or at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Adopter Agreement. As a condition of such approval, the Board of Directors, or at the direction of the Board of Direc- torsDirectors, an officer of the Alliance, may require written documentation that such Affili- ate Affiliate has duly authorized Member Adopter and/or Member Adopter has the corporate authority to bind such Affiliate. The Board of Directors, or at the direction of the Board of Directors, an officer of the Alliance, may require additional proof of the relationship between Member Adopter and such Affiliate and/or may impose additional conditions or terms gov- erning governing such Affiliate’s 's participation in the Alliance through this Participation Adopter Agreement at any time, including, without limitation, prior to any access and/or use of any intellectual property or Confidential information by Member Adopter and/or any Affiliate under the terms of this Participation Adopter Agreement.

Right to Bind. An Affiliate of a Contributor Member shall not have the right to exercise the rights granted to the Contributor Member hereunder until the Board of Directors, or an officer of the Alliance at the direction of the Board of Directors, reviews and approves of such Affiliate’s participation in the Alliance through this Contributor Member Agreement. As a condition of such approval, the Board of Directors or, at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Agreement. As a condition of such approval, the Board of Directors, or at the direction of the Board of Direc- tors, an officer of the Alliance, may require written documentation that such Affili- ate Affiliate has duly authorized t h e Contributor Member and/or Contributor Member has the corporate authority to bind such Affiliate. The Board of DirectorsDirectors or, or at the direction of the Board of Directors, an officer of the Alliance, may require additional proof of the relationship between the Contributor Member and such Affiliate and/or may impose additional conditions or terms gov- erning governing such Affiliate’s 's participation in the Alliance through this Participation Contributor Member Agreement at any time, including, without limitation, prior to any access and/or use of any intellectual property or Confidential information by the Contributor Member and/or any Affiliate under the terms of this Participation Contributor Member Agreement.

Right to Bind. An Affiliate of Member Associate shall not have the right to exercise the rights granted to Member Associate hereunder until the Board of Directors, or at the direction of the Board of Directors, an officer of the Alliance reviews and approves of such Affiliate’s participation in the Alliance through this Participation Associate Agreement. As a condition of such approval, the Board of DirectorsDirec- tors, or at the direction of the Board of Direc- torsDirectors, an officer of the Alliance, may require written documentation that such Affili- ate Affiliate has duly authorized Member Associate and/or Member Associate has the corporate authority to bind such Affiliate. The Board of Directors, or at the direction of the Board of Directors, an officer of the Alliance, may require additional proof of the relationship between Member Associate and such Affiliate and/or may impose additional conditions or terms gov- erning governing such Affiliate’s 's participation in the Alliance through this Participation Associate Agreement at any time, including, without limitation, prior to any access and/or use of any intellectual property or Confidential information by Member Associate and/or any Affiliate under the terms of this Participation Associate Agreement.
