Common use of Right to Proceed Clause in Contracts

Right to Proceed. Anything in this Agreement to the contrary ---------------- notwithstanding, if any of the conditions specified in Section 7.01 hereof have not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving any of its rights hereunder, and if any of the conditions specified in Section 7.02 hereof have not been satisfied, the Stockholders shall have the right to proceed with the transactions contemplated hereby without waiving any of their rights hereunder.

Right to Proceed. Anything in this Agreement to the contrary ---------------- notwithstanding, if any of the conditions specified in Section 7.01 8.1 hereof have has not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving any of its rights hereunder, and if any of the conditions specified in Section 7.02 8.2 hereof have not been satisfied, the Stockholders Seller shall have the right to proceed with the transactions contemplated hereby without waiving any of their its rights hereunder.

Anything in this Agreement to the contrary ---------------- notwithstanding, (a) if any of the conditions specified in Section 7.01 Article VII hereof for the benefit of Sellers have not been satisfied, Sellers shall have the right to proceed with the transactions contemplated hereby without waiving any of its or their respective rights hereunder, and (b) if any of the conditions specified in Article VII hereof for the benefit of Buyer have not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving any of its rights hereunder, and if any of the conditions specified in Section 7.02 hereof have not been satisfied, the Stockholders shall have the right to proceed with the transactions contemplated hereby without waiving any of or their respective rights hereunder.

Anything in this Agreement to the contrary ---------------- notwithstanding, if any of the conditions specified in Section 7.01 Sections 8.1 and 8.4 hereof have not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving any of its rights hereunder, and if any of the conditions specified in Section 7.02 Sections 8.2 and 8.3 hereof have not been satisfied, the Stockholders Company shall have the right to proceed with the transactions contemplated hereby without waiving any of their rights hereunder.

Anything in this Agreement to the contrary ---------------- notwithstanding, if any of the conditions specified in Section 7.01 Sections 8.1 and 9.1 hereof have not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving any of its rights hereunder, and if any of the conditions specified in Section 7.02 Sections 8.2 and 9.2 hereof have not been satisfied, the Stockholders Seller Entities shall have the right to proceed with the transactions contemplated hereby without waiving any of their its rights hereunder.
