Common use of Right to Proceed Clause in Contracts

Right to Proceed. Anything in this Agreement to the contrary notwithstanding, if any of the conditions specified in Article 5 hereof have not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving its rights hereunder and have all obligations, undertakings, agreements and other provisions of this Agreement specifically performed by the Company and Sellers and Buyer shall have the right to obtain and order such specific performance in any of the Courts in the United States or any state or political subdivision thereof. If any of the conditions specified in Article 6 hereof have not been satisfied, Sellers shall have the right to proceed with the transactions contemplated hereby without waiving its rights hereunder.

Anything in this Agreement to the contrary notwithstanding, notwithstanding (a) if any of the conditions specified in Article 5 4 hereof have not been satisfied, Buyer shall have the right to proceed with the transactions contemplated hereby without waiving its rights hereunder and have all obligationshereunder, undertakings, agreements and other provisions of this Agreement specifically performed by the Company and Sellers and Buyer shall have the right to obtain and order such specific performance in any of the Courts in the United States or any state or political subdivision thereof. If (b) if any of the conditions specified in Article 6 5 hereof have not been satisfied, Sellers Seller shall have the right to proceed with the transactions contemplated hereby without waiving its rights hereunder.

If if any of the conditions specified in Article 6 hereof Section 6.02 hereto have not been satisfied, Sellers shall have the right to proceed with the transactions contemplated hereby without waiving its any of their rights hereunder.

If if any of the conditions specified in Article 6 Section 6.2 hereof have not been satisfied, Sellers Seller shall have the right to proceed with the transactions contemplated hereby without waiving any of its rights hereunder.

Anything in this Agreement to the contrary notwithstanding, if any of the conditions specified in Article 5 6 hereof have not been satisfied, Buyer the Purchaser shall have the rights to proceed with the transactions contemplated hereby without waiving its rights hereunder, and if any of the conditions specified in Article 7 hereof have not been satisfied, the Selling Shareholders shall have the right to proceed with the transactions contemplated hereby without waiving its rights hereunder and have all obligations, undertakings, agreements and other provisions of this Agreement specifically performed by the Company and Sellers and Buyer shall have the right to obtain and order such specific performance in any of the Courts in the United States or any state or political subdivision thereof. If any of the conditions specified in Article 6 hereof have not been satisfied, Sellers shall have the right to proceed with the transactions contemplated hereby without waiving its their rights hereunder.
