Common use of Right to Severance Benefits Clause in Contracts

Right to Severance Benefits. The Executive shall be entitled to receive from the Company severance benefits described in Section 2.2 of the Change in Control Agreement (collectively, the “Severance Benefits”) if a Change in Control shall occur and within twenty-four (24) months after the Change in Control either of the following shall occur: (a) the Executive has a Separation from Service with the Company without Cause; or (b) the Executive has a voluntary Separation from Service with the Company for Good Reason.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company severance benefits described in Section 2.2 of the Change in Control Agreement below (collectively, the “"Severance Benefits”") if a Change in Control shall occur and within twenty-four (24) months after the Change in Control either of the following shall occur: (a) an involuntary termination of the Executive has a Separation from Service Executive's employment with the Company without Cause; or (b) the Executive has a voluntary Separation from Service termination of the Executive's employment with the Company for Good Reason.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company severance benefits Severance Benefits as described in Section 2.2 of the Change in Control Agreement (collectively2.3 herein, the “Severance Benefits”) if there has been a Change in Control shall occur of the Controlling Company and if, within twenty-four twelve (2412) months after the Change in Control either of the following shall occur: (a) thereafter, the Executive has a Separation from Service with the Company without Cause; or (b) the Executive has a voluntary Separation Separates from Service with the Company for Good Reasonany reason specified in Section 2.2 herein as being a Qualifying Termination.

The Executive shall be entitled to receive from the Company the severance benefits as described in Section 2.2 of the Change in Control Agreement (collectively, the “"Severance Benefits”") if a Change in Control shall occur and within twenty-four (24) months two years after the Change in Control either of the following shall occur: (ai) an involuntary termination of the Executive has a Separation from Service Executive's employment with the Company without Cause; or (bii) the Executive has a voluntary Separation from Service termination of the Executive's employment with the Company for Good Reason.
