Common use of Right to Severance Benefits Clause in Contracts

Right to Severance Benefits. The Executive will be entitled to receive from the Company Severance Benefits, as described in this Article 3 herein, if the Executive satisfies the conditions set forth in this Article 3. Except with respect to the Accrued Obligations (and subject to Section 3.3, as applicable), in no event herein, except as may be required by applicable federal and/or state law, shall the Executive be entitled to receive any other Severance Benefits if the Executive’s employment is terminated (i) for Cause or (ii) due to a voluntary termination without Good Reason.

Right to Severance Benefits. The Executive will shall be entitled to receive from the Company Severance Benefits, as described in this Article 3 Paragraph 3.3 herein, if the there has been a Qualifying Termination. The Executive satisfies the conditions set forth in this Article 3. Except with respect to the Accrued Obligations (and subject to Section 3.3, as applicable), in no event herein, except as may be required by applicable federal and/or state law, shall the Executive not be entitled to receive any other Severance Benefits if the Executive’s employment he is terminated (i) for Cause or (ii) due to a voluntary termination without Good ReasonCause.

Except with respect to the Accrued Obligations (and subject to Section 3.3, as applicable), in no event herein, except as may be required by applicable federal and/or state law, shall the Executive not be entitled to receive any other Severance Benefits if the Executive’s employment he is terminated (i) for Cause Cause, or (ii) if his employment with the Company ends due to death or Disability, or due to a voluntary termination of employment by the Executive without Good Reason.
