Right to Subcontract Development Activities. Licensee shall have the right to subcontract the performance of any of the Development activities of the Licensed Asset and Products under this Agreement in accordance with Section 2.2. Without limiting the foregoing, Licensee shall not enter into a subcontract with any Person that has been debarred, or is subject to debarment, pursuant to Section 306 of the FD&C Act (or any analogous Applicable Laws in the Licensed Territory), or that is the subject of a conviction described in such section.
