Rights and Duties of Members. The Company is a "manager-managed" limited liability company under the Law which shall be managed by the Managing Member. Except as may hereafter be required or permitted by the Law or as specifically provided herein, the Members (other than the Managing Member) shall in such capacity take no part whatever in the control, management, direction or operation of the affairs of the Company and shall have no power to act for or bind the Company.
