Rights and Duties of the Managing Member. Except as otherwise expressly provided herein, the management and operation of the Company shall be vested exclusively in the Managing Member, who shall have the power on behalf of and in the name of the Company to carry out any and all of the purposes of the Company and to perform all acts and enter into and perform all contracts and other undertakings that it may deem necessary, appropriate, proper, advisable, incidental or convenient thereto. Except as otherwise expressly provided herein, the Managing Member shall have, and shall have full authority in its discretion to exercise, on behalf of and in the name of the Company, all rights and powers of a manager of a limited liability company under the Delaware Act necessary or convenient to carry out the purposes of the Company. Without limiting the foregoing, and except as otherwise expressly provided in this Agreement, the Managing Member is hereby authorized and empowered in the name of and on behalf of the Company:
